While there has beed some little criticism on one or. two eccasions as to the length of time it took to answer a call, owing to the one â€" team _ being out sprinkling, . ! think that, taking everything . into consideration, our showing as a volâ€" unteer _ brigade _ cannot he excelled anywhere in Canada. Outside of your call to duty the brigade had 14 practices, making a total of 336 hourg. During the year we laid 5850 feet of hose, put up 515 feet of ladders and ased 6 chemicals. The â€" fire brigade â€" was called out shortly before three on Tuesday . to extinguish a small blaze at the resiâ€" dence of â€" Mtrs. Kumpf, King street. They made a quick response to the call and were able to put out Ibthe fire with practically no damage. The origin of the fire is not known. This indenture made the day of our Lord, one thousand nine hundred and _ Betweenm Whereas pursuant to the Hydroâ€"Electric Ruilway Act, 1914,!and amendâ€" ments thereto the Commission was requested to enquire into, examine, investigate and report upon the cost of construction and operation of an electric railway or railways to be constructed through certain districts in which the corporations are situated, together with the probable revenue that would result from the operation of such railway or railways; And whereas the Commission has furnished the corporations with such a report showing (1) the total estimated cost, operating revenue and expenses of the railway or rallways, and (2) the proportion of the capital cost to be borne by each of the corporations as set forth in schedule " B" attached hereto; And whereas on receipt of the said report the corporation requested the Commission to construct, equip and operate a system of electric railâ€" ways (hereinafter called the railway) over the routes laid down in schedule * A * attached hereto, upon the terms and conditions and in the manner herein set forth; And whereas the Commission has agreed with the corporations on bebalf of the corporations to comstruct, equip and operate the railway upon the terms and conditions and in the manner herein set forth; but upon the express conditions that the Commission shall not in any way be liablé by reason of any error or omission in any estimates, plans or specifications for any financial or other obligation or loss whatsoever by virtue of this agreement or arising out of the performance of the terms thereof; And whereas the electors of gach of the corporations bave assented to byâ€"laws authorizing the corporations to enter into this agreement with the Commission for the construction, equipment and Operation of the railway as laid down in the said schedules, subject to the following And whereas the corporations have each issued debentures for the amounts set forth in schedule "B" attached hereto, and have deposited the said debentures with the Commission; 1. SBuch debentures shall be Aeposited with the Commission previous to the issuing of the bonds mentloned above, and may be held or disposed of from time to time by the Commission, as provided for in clause 4 hereof, in such amounts, at such rates of discount or premium, and on such terms and conditions as the Commission in its sole discretion shall deem to be in the interests of the railway, the proceeds of such debentures being used solely for the purposes herein contained. ‘The amount of debentures of each corâ€" poration sold or disposed of from time to time shall be such proportion as may be fixed by the Commission of the total amount of debentures, due regard being given to the capital invested, the service rendered, the comparative reverve derived, and all other equitable conditions; , (c) To make no agreement or arrangement with, ahd to grant no bonus, license or other inducement to any other railway or transportaâ€" tion company without the written consent of the Commission; (d) To keep, obsefve and perform the eovenants, provisos and condiâ€" tlons set forth in this agreement intended to be kept and observed and performed by the corporations, and to execute such further or other documents and to pass such byâ€"laws as may be requested by the Comâ€" wission for the purpose of fully effectuating the objects and intent of this agreement; works, property and effects belonging thereto or held or used im conâ€" i::étlm with the rallway constructed, acquired, operated and maintained by the Commission under this agreement, and to be for the total amounts mentioned in schedule "B" hereto attached; providedâ€" that the Commisâ€" sion may, upon obtaining the consent as herein defined of the majority of the corporations, Increase the said bond issue by any amount necessary to cover the capital cost of extending the railway, and may also without such consent increase the said byrid issue to cover the cost of additional works or equinment of. any kind for use on the railway to an extent not exceeding ten per cent. (10%) of the bonds issued from time to time. In order to meet and pay such bonds and interest as the same becomes due and payable the Commission shall in each year after the expiration of ten years from the date of the issue of the bonds out of the revenue of the railway after payments of operating expenses (including electrical power) and the cost ofâ€"administration set aside a sufficient sum to proâ€" vide a sinking fund for the purpose of redeeming the same at maturity. Debentures issued by the corporations in compliance with clause 2 (b) hereof, shall, to the extent of the par value of any bonds outstanding from time to time, be held or disposed of by the Commission in trust for the holders of such bonds as collateral security for payment thereof, it being understood and agreed that in the event of any increase of the said bond issue each corporation shall, upon the request of the Comâ€" mission, deposit with the Commission additional debentures as described in clause 2 (b) hereof, to be held or disposed of by the Commission as collateral security for such increase of the said bond fssue, and that any debentures held by the Commission in excess of the par value of the outstanding bonds from time to time may be held or disposed of by the Commission to secure payment of any deficit arising from the operation of the railway. 3, It shall be lawful and the Commission is hereby authorized to create or cause to be created an issue of bonds, and to sell or dispose of the same on behalf of the eorporations, Such bonds to be charged upon and wedired by the railway, and>all the masets, rights, privileges, revenues, (e) To furnish a free right of way for the railway and for the power lines of the Commission over any property of the corporations upon being so requested by the Commission, and to execute such conveyance thereof or agreement with regard theréto as may be desired by the Commission. hk 4. In the event of the revenue derived from the operation of the underâ€" taking being insufficient in any year to meet the operating expenses (including electrical power), the cost of administration and the annual charges for interest and sinking fund on the bonds, and for the renewal of any works belonging in whole or in part to the railway, such deficit shall be paid to the Commission by the corporations upon ‘demand of and in the proportion adjusted by the Commission. In the event of the failure of any corporation to pay its share of such a deficit as adjusted by the Commission, it shall be lawful for the Commission in the manner provided in clause 2 (b) to dispose of debentures held by the Commission as security for any such deficit. Any arrears by any corporation shall bear interest at the legal rate. &. Should any corporation fail to perform any of the obligations to the Commision under this agreement, the Commission may, in addition 6. In case the Commission shall at any time or times be prevented from operating the rallway or any part thereof by strike, lockout, riot, fire, invasion, explosion, act of God, or the King‘s enemies, or any other eause reasonably beyond its control, then the Commission shall not be bound to operate the railway or such part thereof during such time; but the corporations shall not be relieved from any liability or payment under this agreement, and as soon as the cause of such interruption is removed the Commission shall, without any delay, continue full operation of the railway, and each of the corporations shall be prompt and diligent in doing everything in its power to remove and overcome any such mause 6r eauses of interruption. to all other remedies and without notice, discontinue the service of the railway to such corporation in default until the said obligation has been fulflled, and no such discontinuance of service shall relieve‘ the corporaâ€" tion in default from the performance of the covenants, provisos and conditions herein contained. (o) To make such extensions to the railway described in scheduls A" as miay appear advantageobs and profitable from time to time. .. 7. It shall be lawful for, and the corporation# hereby authorize the Commission to unite the business of the railway with that of any other r-lwlm eperated in whole or in part by the Commission, and to exe equipment and operators from one system to the other, proper provision being made so that each system shall pay its proportionate share of the cost of any equipment used in common. 8. If at any time any other municipal corporation applies to the Comâ€" mission for an extension of the railway into its municipality the Comâ€" mission shall notify the applicant and the corporations, in writing, of s time and place to hear all representations that may be made as to the terms and conditions relating to such proposed extension. If, on/the recommendation of the Commirsion, such extension shall be authorized, without discrimination in favor of the applicant, as to the cost Incurred or to be incurred for or by reason of any such extension, the Commission may extend the railway upon such terms and conditions as may appear equitable to the Commission.
