VICTORIA, by the Grace of God of the United Kingdom of Great Britain and Ireland
            QUEEN, Defender of the Faith &c &c &c
            To all to whom these Presents shall come-

Whereas The Ontario Companies Act provides that with the exceptions therein mentioned the
            Lieutenant-Governor of Our Province of Ontario in Council may by Letters Patent under the Great Seal create and
            constitute bodies corporate and politic for any of the purposes or objects to which the legislative authority of
            the Legislature of Ontario extends

And Whereas by their Petition in that behalf the persons herein mentioned have prayed for a Charter
            constituting them a body corporate and politic for the due carrying out of the undertaking herein set forth

And Whereas it has been made to appear to the satisfaction of Our Lieutenant-Governor in Council that the
            said persons have complied with the conditions precedent to the grant of the desired Charter and that the said
            undertaking is within the scope of the said Act

Now therefore Know Ye that by and with the advice of the Executive Council of Our Province of
            Ontario and udner the authority of the hereinbefore in part recited Statute and of any other power or authority
            whatsoever in Us veted in this behalf We do by these Our Letters Patent create and constitute the persons
            hereinafter named that is to say

Granville Holme Carroll and John Forster Roultbee Gentlemen and Alonzo Norman Larney
            Electrical Engineer all of the Town of Paris in the County of Brant and Province of Ontario and William James
Gentleman and Thomas McLaughlin Commission Merchant both of the City of Toronto in
            the County of York and Province aforesaid and any others who have become subscribers to the Memorandum of
            Agreement of the Company and their successors respectively a Corporation for the purposes and
            bjects following that is to say Subject to the provisions of the Act respecting Companies for supplying Steam
            Heat Electricity

[obscured] Natural Gas for Heat Light or Power to Construct maintain complete and operate works for the
            production sale and distribution of electricity for the purposes of light and power ---
            The Corporate Name of the Company to be The Grand River Electrical Power Company Limited
Share Capital of the Company to be Ninety-five thousand dollars divided into Nine hundred and
            fifty Shares of One hundred dollars each The Head Office of the Company to be at the said Town of
            Paris and ---
            The Provisional Directors of the Company to be Granville Holme Carroll John Foster Boultbee Alonzo
            Norman Parney William James Clark and Thomas McLaughlin hereinbefore mentioned

In Testimony whereof We have caused these Our Letters to be made Patent and the Great
            Seal of Our Province of Ontario
to be hereunto affixed
            Witness : THE HONOURABLE SIR OLIVER MOWAT Knight Grand Cross of Our Most Distinguished Order of Saint
            Michael and Saint George Member of Our Privy Council for Canada and LIEUTENANT-GOVERNOR of Our PROVINCE OF

At Our Government House in Our CITY OF TORONTO in Our said Province this tenth ----
            day of December --- in the year of Our Lord one thousand eight hundred and ninety-eight ---
            and in the Sixty-second---year of Our Reign
